These Terms of Service ("Terms") govern your access to and use of the services provided by DD Operations LLC, doing business as Vidd AI ("Vidd AI," "we," "us," or "our"), including our website (viddai.net), AI phone agent services, client dashboard, and any related platforms or communications (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.
1. Services Overview
Vidd AI provides AI-powered phone agent services for businesses. Our AI agents answer inbound and outbound phone calls on behalf of your business, handle customer inquiries, book appointments, provide pricing information, qualify leads, and perform other call-handling tasks as configured during onboarding.
Our Services include access to a secure client dashboard where you can review call transcripts, recordings, analytics, and detailed performance reports.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or your business to use our Services. By using our Services, you represent and warrant that you meet these requirements.
3. Account Registration and Security
To use our Services, you must provide accurate, complete, and current information during the onboarding process. You are responsible for maintaining the confidentiality of your account credentials, including your client dashboard login information. You are responsible for all activity that occurs under your account.
You agree to notify us immediately at david@viddai.net if you suspect any unauthorized access to or use of your account.
4. Service Configuration and Client Responsibilities
During onboarding, you will provide us with the business information necessary to configure your AI phone agent, including but not limited to: business name, hours of operation, services offered, pricing, policies, frequently asked questions, and escalation procedures.
You are responsible for:
- Providing accurate and up-to-date business information for agent configuration
- Notifying us promptly of any changes to your business information, pricing, policies, or hours of operation
- Ensuring your use of our Services complies with all applicable federal, state, and local laws, including but not limited to telecommunications regulations and call recording consent laws
- Obtaining any required consents from your customers regarding call recording, data collection, and the use of AI-powered agents, as required by applicable law
- Reviewing call transcripts and agent performance through your client dashboard and providing feedback for quality improvement
5. Call Recording and Compliance
Our AI phone agents may record calls for quality assurance, training, and service delivery purposes. Our agents are configured to inform callers at the beginning of each call that the call may be recorded.
You acknowledge and agree that:
- You are responsible for ensuring that call recording practices comply with all applicable laws in the jurisdictions where your business operates and where your callers are located
- Certain states, including Massachusetts, require all-party consent for call recording. You are responsible for understanding and complying with these requirements.
- Vidd AI provides the call recording disclosure as a standard feature but does not guarantee compliance with the specific laws of every jurisdiction
- Call recordings and transcripts are made available to you through your secure client dashboard and are your responsibility once delivered
6. Fees and Payment
You agree to pay the fees associated with the service plan you select. Fees are billed monthly in advance unless otherwise agreed upon in writing. All fees are non-refundable except as expressly stated in these Terms or a separate written agreement.
We reserve the right to change our fees upon 30 days written notice. If you do not agree to a fee change, you may cancel your Services before the new fees take effect.
If payment is not received within 15 days of the due date, we may suspend your Services until payment is received. Accounts with balances outstanding for more than 30 days may be terminated.
7. Service Availability and Performance
We strive to provide reliable, uninterrupted service. However, we do not guarantee that our Services will be available at all times or that they will be error-free. Our Services may be subject to interruptions due to maintenance, updates, carrier issues, or circumstances beyond our control.
Our AI agents operate based on the information and configuration you provide. While we continuously improve our AI technology, we do not guarantee that the AI will handle every call perfectly or that it will satisfy every caller.
You acknowledge that AI-powered services have inherent limitations and that Vidd AI shall not be liable for any damages arising from the AI agent's responses, including but not limited to incorrect information provided during a call, missed calls due to technical issues, or caller dissatisfaction.
8. Intellectual Property
All intellectual property rights in our Services, including but not limited to our AI technology, software, website design, logos, trademarks, and content, are owned by DD Operations LLC and are protected by applicable intellectual property laws.
You retain ownership of all business information, content, and data you provide to us for agent configuration. You grant us a limited, non-exclusive license to use this information solely for the purpose of providing our Services to you.
You may not copy, modify, distribute, reverse engineer, or create derivative works based on our Services or any part thereof without our prior written consent.
9. Confidentiality
Each party agrees to maintain the confidentiality of any proprietary or confidential information received from the other party during the course of the service relationship. This includes, but is not limited to, business strategies, pricing structures, customer data, call recordings, and technical configurations.
Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law or as necessary to provide the Services.
10. Data Handling
Our collection, use, and sharing of information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you acknowledge that you have read and understood our Privacy Policy.
You are responsible for your own compliance with applicable data protection and privacy laws with respect to the caller data and call recordings made available to you through our Services.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Vidd AI and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of our Services, regardless of the theory of liability.
Our total aggregate liability to you for any and all claims arising out of or related to these Terms or our Services shall not exceed the total amount of fees paid by you to Vidd AI during the twelve (12) months immediately preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Vidd AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of our Services
- Your violation of these Terms
- Your violation of any applicable law, regulation, or third-party rights
- Any claim arising from the information or content you provide for agent configuration
- Any claim from a third party related to calls handled by our AI agent on your behalf
13. Term and Termination
These Terms are effective as of the date you first access or use our Services and remain in effect until terminated.
Either party may terminate the service agreement by providing 30 days written notice to the other party. We may also terminate or suspend your access to our Services immediately if:
- You breach any provision of these Terms
- Your account is overdue for more than 30 days
- We are required to do so by law
- We determine, in our sole discretion, that your use of our Services poses a risk to us, our other clients, or third parties
Upon termination, your access to the client dashboard and all associated data will be available for 30 days to allow you to export your data. After 30 days, we will delete your data in accordance with our Privacy Policy.
14. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiation between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the Commonwealth of Massachusetts.
You agree that any arbitration will be conducted on an individual basis and not as a class, consolidated, or representative action.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws provisions.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Effective Date" at the top of this page and notify you by email at least 15 days before the changes take effect. Your continued use of our Services after the effective date of any changes constitutes your acceptance of the modified Terms.
17. Miscellaneous
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vidd AI regarding our Services and supersede all prior agreements and understandings.
